Terms of Service

These Terms of Service ("Terms") govern use of the Digitaalinen Yrityskauppa (DIYK) online service ("Service", "Platform") at undefined. The Service is provided by Talvea Oy (Business ID 2639415-9), Pakkahuoneenkatu 12 B 19, 90100 Oulu ("Talvea", "we").

By registering and accepting these Terms and the separate Service Agreement, you agree to be bound by them. The Service is intended for business representatives, investors, and professional advisors (B2B). It is not consumer trade.

Finnish law applies. Disputes are resolved primarily by negotiation; failing that, in the Helsinki District Court.

Terms are available in Finnish and English. In case of conflict, the Finnish version prevails.

2. Service description and limitations

DIYK is a digital marketplace and toolkit for SME business acquisitions, including company listings, buyer–seller matching, deal workflow tools (data room, contract drafts, due diligence checklists), and optional paid add-ons.

The Service is not: investment advice, credit institution activity, legal or tax advice, a party to transactions, a payment intermediary, or an escrow provider.

Talvea does not guarantee that a deal will close, party reliability, listing accuracy, or transaction outcomes. Brokerage and success fees are governed by the separate Service Agreement.

3. Accounts and roles

Registration requires a valid email. Sign-in uses magic links. Sellers may need strong authentication (Finnish Trust Network via Signicat) for higher verification levels.

Roles include Buyer, Seller, Assisting User, Expert (admin approval), Public Sector Advisor (admin approval), and Economic Development Director. You are responsible for accurate information and authority to act in your role. One person cannot be both buyer and seller in the same deal.

4. Acceptable use

Use the Service only for lawful business acquisitions. Prohibited conduct includes misleading information, competitor intelligence without genuine interest, scraping, bypassing anonymity controls, unauthorized company claims, and security abuse. PRH/YTJ data is public-source data without accuracy guarantees.

5. Content and intellectual property

You retain ownership of uploaded documents and grant Talvea a limited license to process them for the Service and ordered AI features. Platform UI, software, and brand remain Talvea property. Listings may be PUBLIC, SILENT, or HIDDEN per visibility settings.

6. AI and automated tools

AI tools (valuation, analysis, contract generation, landing chat) are assistive only, not legal, tax, or investment advice. Valuations are indicative; AI contracts must be reviewed by qualified counsel; analyses may contain errors; landing chat is not stored server-side—do not submit sensitive personal data.

7. Paid platform services

Certain actions require payment via Stripe before access. Prices include VAT unless stated otherwise. Digital one-off services are non-refundable once delivery has started. Expert packages are fulfilled by Talvea under separate terms. Success commission is governed by the Service Agreement, not these Terms.

8. Privacy and communications

Personal data is processed under GDPR. See our Privacy Policy. We send service-related email; marketing only with consent. Support data is processed with separate consent.

Data subject rights: contact diyk-admin@diyk.fi or submit a support ticket under "Legal / compliance". We respond within 30 days.

9. Availability, changes, and termination

The Service is provided "as is". Material Terms changes require re-acceptance. Talvea may suspend accounts for breach. Account closure requests: diyk-admin@diyk.fi. Data retention after closure is described in the Privacy Policy.

10. Liability

Talvea is not liable for inter-party sale agreements, purchase price payments between parties, tax consequences, or transfer tax (1.6%). DIYK does not collect transfer tax. Talvea's aggregate liability is limited to platform fees paid in the last 12 months, except for wilful misconduct, gross negligence, or GDPR breaches. You indemnify Talvea for breaches and inaccurate information you provide.

11. Cookies and third parties

Essential cookies are used without separate consent; analytics/marketing cookies only with consent. Third parties include Stripe, Resend, AWS S3, Signicat, Google Gemini, and Supabase/PostgreSQL—see Privacy Policy.

12. Miscellaneous

You may not assign your rights without Talvea's written consent. These Terms, the Service Agreement, and Privacy Policy form the entire agreement. Severability applies.
